1,005,405 ordinary shares of £0.01 to Royal Bank of Canada Trustees Limited in
their capacity as trustees of a trust (the "Trust").
Under the terms of the Trust, Richard Bruce Farleigh, as settlor, has certain
rights which, save in certain circumstances, entitle him to exercise control
over the trustees' exercise of the voting rights attaching to the shares legally
and/or beneficially held by the trustees for the time being of the Trust.
